CMB Transport Terms and conditions

This Service Policy Agreement (“Agreement”) governs all transportation services provided by CMB Transport (“Company,” “we,” “our”) to the contracting client (“Client,” “you,” “your”) and all members of your party. By booking a reservation, you acknowledge and accept these terms in full.

Booking Deposit: A non-refundable deposit equal to 30% of the total trip cost is collected at the time of booking. This deposit is retained by the Company in all cancellation scenarios and is not applied toward any other reservation.


1. Cancellation, Re-Booking & No-Show Policy

Cancellation Window: Cancellations are not permitted within 48 hours of the scheduled pickup time. Any cancellation made with more than 48 hours’ notice will receive a full refund of the trip cost, less the non-refundable booking deposit. The non-refundable booking deposit is retained by the Company in all cancellation scenarios.

Cancellation Fee Defined: The Cancellation Fee equals Minimum 75% of the total trip cost, including gratuity and the non-refundable booking deposit.

Late Cancellation (Within 48 Hours): Cancellations made within 48 hours of the scheduled pickup time are granted at the Company’s sole discretion. If granted, the Company will charge a minimum of 50% of the total trip cost, including any applicable gratuity, and the non-refundable booking deposit is retained. The 50% charge is a minimum; the Company may charge up to the full Cancellation Fee at its discretion depending on the circumstances, including but not limited to: the length of the reservation, the vehicle class reserved, and whether the time slot can reasonably be re-booked.

Re-Booking: The Client may re-book a reservation to a different date or time within the same 48-hour window at no charge, subject to vehicle and driver availability. A re-booking is a modification of the existing reservation and does not trigger the cancellation policy. If vehicle availability cannot be confirmed for the new date or time, the cancellation terms above apply.

No-Show: If the Client or any passenger fails to appear at the designated pickup location within 30 minutes of the scheduled pickup time without prior communication to the Company, the reservation is treated as a no-show cancellation and the full Cancellation Fee applies. If the Client communicates a delay within this window, wait-time charges under Section 2 will apply instead.

Cancellation by Company: The Company reserves the right to cancel any reservation due to unsafe weather, road conditions, vehicle mechanical issues, or other circumstances that would compromise safety. In such cases, the Company will make reasonable efforts to arrange alternative transportation or
provide a full refund, including the booking deposit.


2. Payment, Overage & Wait-Time Policy

Card Authorization: The Client authorizes the Company to charge any payment card on file for all amounts due under this Agreement, including but not limited to: base fare, overtime, wait time, damage, cleaning, and any other charges arising from the Client’s reservation.

Overage Rate: Any service time exceeding the reserved duration is billed at $60 per hour, calculated at $1 per minute, rounded to the nearest whole minute. There is no grace period. Overage begins the moment reserved time expires and continues until service ends. For clarity: a 17-minute overage = $17.00.

Wait Time: Airport & Point-to-Point: For airport arrivals, a 45-minute grace window applies from the flight’s confirmed landing time. Wait time beyond 45 minutes is billed at the overage rate. For all other pickups, wait time beyond 15 minutes past the scheduled pickup time is billed at the overage rate. Wait time and overage are non-overlapping; the same minute is never billed twice.

Service End Time: The reservation clock stops when all passengers and personal belongings have been removed from the vehicle and the vehicle is clear to depart. This includes any time spent unloading luggage, retrieving items, or waiting for passengers to exit.

Consecutive Reservations: If a Client’s overage causes the Company to be late for or miss a subsequent reservation, the Client is responsible for all lost revenue from any cancelled or missed subsequent reservation, including refunds issued to the affected client.

Disputed Charges: The Client must notify the Company of any disputed charge within 7 calendar days of the charge date. After 7 days, all charges are deemed accepted.


3. Alcohol Policy

The Company does not provide alcohol, ice, mixers, or soft drinks. Passengers may bring and consume their own alcohol on board, subject to the following conditions:

  • No passenger under 21 years of age shall consume, possess, or distribute alcoholic beverages at any time.
  • The Client is solely responsible for verifying the age of all passengers in their party.
  • The Client agrees to indemnify and hold CMB Transport harmless from any and all costs, fines, court fees, attorney fees, and other expenses arising from underage possession, distribution, or consumption of alcohol during the reservation, regardless of whether the Company had knowledge of the violation.


4. Substance Policy

No illegal drugs, controlled substances, or drug paraphernalia may be consumed, possessed, or distributed in any Company vehicle at any time. This includes marijuana regardless of local decriminalization status. Prescription medication taken as prescribed by the passenger to whom it is prescribed is
exempt.


5. Smoking & Vaping Policy

All Company vehicles are strictly smoke-free and vape-free. This includes cigarettes, cigars, pipes, e-cigarettes, vaporizers, and any other smoking or vaping device. A minimum $350 detailing fee will be charged for any violation.


6. Passenger Capacity & Conduct

Capacity: The Client agrees that the manufacturer-rated passenger capacity of the assigned vehicle shall not be exceeded under any circumstances. Capacity includes all passengers regardless of age. The driver may refuse service if capacity is exceeded, and the Cancellation Fee will apply.

Conduct: The driver has sole discretion to assess any situation and make the call that best protects the safety of all passengers, the vehicle, and the driver. The driver’s judgment is final and binding for the duration of the reservation. The driver reserves the right to terminate service immediately and without refund if any passenger engages in conduct the driver deems unacceptable, including but not limited to:

  • Behavior the driver reasonably deems threatening, harassing, or unsafe
  • Possession, consumption, or distribution of illegal drugs
  • Violation of the Alcohol Policy regarding underage drinking
  • Causing or threatening to cause damage to the vehicle
  • Refusal to follow the driver’s reasonable safety instructions
  • Any other conduct that, in the driver’s sole judgment, compromises the safety, comfort, or orderly operation of the vehicle

Upon termination for cause, passengers will be discharged at the nearest safe, public location. If the violation involves underage drinking or drug use by minors, the driver will return minors to the original pickup location and contact parents or guardians. The driver is not required to give a warning before terminating service, and no refund or partial refund will be issued.

7. Blacklist Policy

Right to Refuse Service: The Company maintains an internal blacklist of individuals who are permanently barred from booking or riding with CMB Transport. The Company reserves the right, at its sole discretion, to place any individual on the blacklist for any reason, including but not limited to: conduct resulting in a termination of service under Section 6, non-payment or chargeback of any amount owed, property damage, verbal abuse or threats directed at Company staff or drivers, or any other behavior the Company deems incompatible with continued service.

Effect of Blacklist: A blacklisted individual is prohibited from making a reservation, being named as a passenger on any reservation, or entering any Company vehicle under any circumstances. If the Company discovers after booking that the Client, or any passenger named in a reservation, is a blacklisted individual, the Company will cancel the reservation immediately and provide a full refund, including the booking deposit. No refund is owed if a reservation is terminated mid-service upon discovery that a passenger is blacklisted.

Client Responsibility: The Client is responsible for ensuring that no member of their party is a blacklisted individual. The Client’s ignorance of a guest’s blacklisted status is not a defense and does not entitle the Client to any refund or credit.

No Obligation to Disclose: The Company is under no obligation to notify an individual that they have been blacklisted, to disclose the reason for a blacklisting, or to provide an appeal process. Blacklisting is at the Company’s sole and absolute discretion.


8. Vehicle Damage & Cleaning

Damage: The Client is financially responsible for all damage to the vehicle caused by the Client or any member of their party during the reservation period, whether willful or accidental. This includes but is not limited to: tears, stains, burns, broken glass or fixtures, electronic damage, and bodily fluid contamination. The Client authorizes the Company to charge the card on file for the full cost of repair or replacement, plus any lost revenue during the period the vehicle is out of service for repairs.

Cleaning: The Client is responsible for returning the vehicle in the condition it was provided. Cleaning fees are assessed as follows:

8. Personal Property

CMB Transport is not responsible for any personal property left in the vehicle before, during, or after the reservation. The Client is responsible for all guests and their belongings. The Company will make reasonable efforts to return found items but assumes no liability for loss, damage, or theft of personal property.


9. Liability & Indemnification

Client Responsibility: The Client is responsible for the conduct of all guests in their party at all times; before, during, and after the reservation; whether inside or outside the vehicle.

Hold Harmless: The Client agrees to hold CMB Transport, its owners, employees, and agents harmless from and against any and all claims, damages, losses, liabilities, costs, and expenses (including attorney fees) arising from:

  • The conduct of the Client or any member of their party
  • Personal injury or property damage caused by the Client or their party
  • Any violation of this Agreement by the Client or their party
  • Any legal action resulting from underage alcohol consumption or illegal drug use

Limitation of Liability: The Company’s maximum liability for any claim arising from a reservation is limited to the total amount paid by the Client for that reservation. The Company is not liable for indirect, consequential, or incidental damages, including missed flights, events, or business
opportunities.


10. Force Majeure

The Company is not liable for delays or failures in performance resulting from causes beyond its reasonable control, including but not limited to: severe weather, road closures, accidents not involving the Company vehicle, civil unrest, or government actions. In such cases, the Company will make reasonable efforts to fulfill the reservation through alternate routing or timing but is not obligated to provide refunds for delays caused by force majeure events.


11. Entire Agreement & Severability

This Agreement constitutes the entire understanding between the Company and the Client. Any modification must be in writing and signed by both parties. If any provision is found unenforceable, the remaining provisions remain in full force.


12. Gratuity

An automatic gratuity of 20% is applied to all reservations and included in the total trip cost quoted at booking. This gratuity is non-refundable and included in any cancellation fee applied. The Client may authorize an additional gratuity at their discretion, which will be charged to the card on file and distributed in full to the driver. Any additional gratuity authorized after the reservation is subject to the same 7-day dispute window under Section 2.


13. Reservation Modifications

The Client may request changes to an existing reservation; including pickup time, pickup location, drop-off location, vehicle type, or passenger count; up to 24 hours before the scheduled pickup time at no charge, subject to vehicle and driver availability. Changes requested within 24 hours of pickup are accommodated at the Company’s discretion and may incur a modification fee of up to 25% of the original trip cost if the change requires reassignment of vehicles or drivers. A change to the reservation date is treated as a cancellation and rebooking under Section 1. A change to a larger vehicle class will be quoted at the difference in base rate. All modifications must be confirmed in writing by the Company to be effective.


14. Vehicle Substitution

The Company reserves the right to substitute the assigned vehicle with a vehicle of comparable or superior class at any time prior to or during the reservation, including for reasons of mechanical failure, late return from a prior reservation, accident, or safety concern. If a comparable or superior vehicle is not available, the Company will notify the Client before pickup and offer the choice of: accepting a smaller vehicle at a prorated rate reduction, waiting for a comparable vehicle to become available, or cancelling the reservation with a full refund including the booking deposit. The Company’s liability for any vehicle substitution is limited to the remedies described in this section.


15. Tolls, Parking, and Surcharges

The base fare covers the vehicle, driver, and fuel for the reserved route and duration. The following charges are billed as pass-through costs to the Client’s card on file:

  • All highway, bridge, and express-lane tolls incurred during the reservation
  • Airport access fees, terminal fees, and curbside pickup surcharges imposed by the airport authority
  • Parking charges at pickup or drop-off locations, including airport parking garage fees when the driver parks to meet the Client at baggage claim or a terminal entrance
  • Any municipal or regional surcharges imposed on for-hire ground transportation

The Company does not mark up pass-through costs. A receipt or itemization is available on request for any pass-through charge exceeding $10.


16. Governing Law

This Agreement is governed by the laws of the State of Minnesota, without regard to its conflict of laws principles. Any dispute, claim, or legal action arising from or relating to this Agreement or the transportation services provided shall be brought exclusively in the state or federal courts located in Hennepin County, Minnesota. The Client consents to personal jurisdiction in Hennepin County and waives any objection based on venue or forum non conveniens. The prevailing party in any such action is entitled to recover reasonable attorney fees and costs.
